General Meetings

Article 38:
The President shall call an Annual General Meeting to be held during the month of April, for which notice shall be sent out by mail at least 30 days prior to the meeting. At the Annual General Meeting, the President’s annual report and the reports of committees shall be presented, and other matters of interest to the Society shall be discussed. At the Annual General Meeting there shall also be elected 12 members of the Board of Governors to serve for a term of two years and, in alternate years, the Officers who will also serve for a 2 (two) year term, as provided in Article 37 hereof.

Article 39: The quorum for the Annual and other General Meetings of the Society shall be 50 Active Members in good standing, present either in person or by proxy.

Sole Paragraph - In the event that a quorum shall not be present on first call, a second meeting shall be called by means of a written notice sent out by mail at least 20 days prior to the meeting. On second call, any number of Active Members present either in person or by proxy shall constitute a quorum.

Article 40: Active Members in good standing may vote by proxy. No member of the American Society shall be entitled to vote more than three proxies at General Meetings of the American Society.

Article 41: The President may call an Extraordinary General Meeting at any time upon 15 days notice.

Article 42: Twenty-five Active Members in good standing may call an Extraordinary General Meeting any time by giving the Board of Governors written notice mentioning the purpose of the meeting. The President must then call an Extraordinary General Meeting within 30 days from the date of receipt of the notice from the 25 Active Members.
