Code of Ethics and Conduct

Mission
The American Society of São Paulo (“American Society” or “AmSoc”) promotes
friendship by organizing social, cultural and athletic events for its diverse membership, encourages integration with Brazilian society and supports American traditions, philanthropy and volunteerism. The American Society is committed to fostering a community of mutual respect, integrity, and ethical behavior. This Code of Ethics and Conduct ("Code") is established to guide the behavior of all individuals associated with our organization, ensuring that our activities are conducted in a manner consistent with our mission and values.

RESPECT
Respect forms the foundation of all interactions and relationships within the American Society. It involves recognizing the dignity of everyone, considering their rights, opinions, and feelings. Maintaining mutual respect is paramount in all our activities and in all engagements with the wider community.
INTEGRITY
All members, volunteers, and associates are expected to act with honesty and integrity, and to demonstrate fairness and transparency in all activities of the American Society.
COLLABORATION
The American Society believes in the power of working together to achieve common goals. We value collaboration among members, volunteers, partners, and the community, sharing knowledge, skills, and resources to achieve collective success.
CULTURAL APPRECIATION
We celebrate the rich tapestry of cultures within our community and encourage understanding and appreciation of different perspectives.
COMMUNITY SERVICE
We encourage our members to participate actively in volunteer opportunities, contributing time and effort to support charitable causes and initiatives that benefit society.
Conduct Standards

Institutional and Interpersonal Relations: All members and associates are expected to promote a safe, healthy, and respectful environment. Discrimination, prejudice, or harassment of any kind will not be tolerated, whether based on ethnicity, religion, culture, age, political beliefs, physical condition, gender, sexual orientation, or any other characteristic.

Members must safeguard the confidentiality of sensitive information pertaining to the American Society, its members, and its partners. Confidential information should only be used for the purpose of fulfilling the organization's mission and objectives.

Use of Media and Social Networks: Any professional or personal publications must reflect positively on the American Society. Misrepresentation, defamatory remarks, or the sharing of confidential information without appropriate authorization is strictly prohibited.

Governance and Anti-Corruption: All activities must comply with applicable laws and regulations, including those related to anti-corruption and anti-money laundering. Members must act with integrity in dealings with third parties, avoiding any conduct that could be seen as corrupt or unethical.

Conflicts of Interest
Conflicts of interest may arise when personal interests conflict with the interests of the American Society. Members should be vigilant in identifying, preventing, and managing conflicts of interest to ensure that such interests do not influence their actions or decisions. Situations that could lead to conflicts of interest must be disclosed to the Executive Committee of the American Society.
Reporting and Compliance
Members are encouraged to report any violations of this Code or ethical concerns to the President of the American Society at president@amsoc.com.br. The American Society is committed to handling reports confidentially and ensuring that there is no retaliation against individuals who report in good faith.
Review and Update
This Code of Ethics and Conduct will be periodically reviewed by the Board of Directors of the American Society of São Paulo to ensure that it remains relevant and aligned with best practices and applicable legal requirements. Any changes or updates will be communicated to all members, volunteers, staff, and partners of the organization.
The review of the Code may be initiated at any time by the Board of Directors, based on changes in legislation, internal policies, or in response to new ethical challenges identified. All members of the American Society are encouraged to contribute suggestions for the continuous improvement of this Code.
After review, the updated Code will be made available to all interested parties, and form part of AmSoc’s internal policies and procedures, as summarized in the Board of Governor’s Handbook. Adherence to its guidelines will continue to be mandatory for everyone.
